These Terms of Service (“Terms”) govern your access to and use of the website, data products, APIs, and services (collectively, the “Services”) provided by Measurable (“Measurable”, “we”, “us”). By accessing the Services, creating an account, or subscribing to a plan, you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you are authorized to bind it.

1. The Services

Measurable provides large-scale datasets about the public internet and analytics derived from them, delivered as bulk data, streams, and search, along with related services. Specific features, limits, and service levels depend on your plan or written agreement.

2. Accounts

You are responsible for the accuracy of your account information, for safeguarding your credentials and API keys, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

3. Subscriptions, fees, and billing

  • Plans. Self-serve plans (Explorer, Professional, and Business) are billed through our payment processor, Stripe, on a monthly or annual basis. Enterprise engagements are governed by a separate order form or agreement.
  • Renewal. Subscriptions renew automatically at the end of each billing period unless cancelled beforehand. You authorize recurring charges to your payment method.
  • Taxes. Fees are exclusive of taxes, which you are responsible for where applicable.
  • Cancellation and refunds. You may cancel at any time, effective at the end of the current billing period. [State your refund policy here.]

4. Acceptable use

You agree to use the Services lawfully and only for legitimate security, research, and business purposes. You must not, and must not permit others to:

  • use the Services or data to harass, stalk, intimidate, or unlawfully re-identify, profile, or surveil individuals;
  • use the data to facilitate attacks on, intrusion into, or disruption of any system, network, or person;
  • violate applicable laws or regulations, including privacy, data-protection, sanctions, and export-control laws;
  • resell, sublicense, or redistribute bulk data except as expressly permitted by your plan or agreement;
  • attempt to defeat rate limits, access controls, or usage metering, or to access data you are not licensed to receive;
  • reverse engineer the Services except to the extent that restriction is prohibited by law.

We may suspend access for conduct that we reasonably believe violates this section.

5. Data, licenses, and intellectual property

  • Your data. You retain all rights in the indicators, queries, and content you submit. You grant us a limited license to process them solely to provide and maintain the Services, consistent with our Privacy Policy.
  • License to you. Subject to these Terms and your plan, we grant you a non-exclusive, non-transferable license to access and use the data and outputs for your internal business and security purposes.
  • Our rights. We and our licensors retain all rights, title, and interest in the Services, the datasets, the derived products, and the platform, including all related intellectual property.

6. Confidentiality of your usage

Consistent with our Privacy Policy, we do not collect data or metadata about your usage of the Services beyond what billing requires, and a search is never an observation: we do not act on what you look up. Your submitted indicators and any custom work are isolated to your tenant and are not shared across customers. These commitments are contractual.

7. Service levels and availability

We work to keep the Services available and current, and timeliness and coverage figures are described per plan or agreement. Except where a written service-level agreement applies, the Services are provided on an “as available” basis and we do not guarantee uninterrupted or error-free operation.

8. Disclaimers

The Services and all data and outputs are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. Outputs, scores, and classifications are informational and should be validated before you act on them.

9. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our aggregate liability arising out of or relating to the Services will not exceed the amounts you paid us in the twelve months preceding the claim.

10. Indemnification

You will defend and indemnify Measurable against third-party claims arising from your misuse of the Services or violation of these Terms or applicable law, except to the extent caused by us.

11. Term and termination

These Terms apply while you use the Services. We may suspend or terminate access for material breach. On termination, your right to use the Services ends; sections that by their nature should survive (including ownership, disclaimers, and liability) will survive.

12. Changes

We may update the Services and these Terms. We will post the updated Terms here and revise the “Last updated” date. Material changes will be communicated where required, and continued use after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of [JURISDICTION], without regard to its conflict-of-laws rules, and the parties submit to the courts located there.
